Please read these Terms of Use carefully. By using MWLN, you agree to be bound by these terms. MWLN is a marketing, advertising, and technology platform only — not a real estate brokerage, attorney, lender, or licensed professional service.
1.Acceptance of Terms
By accessing or using the MWLN platform at mwln.net, you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these terms, you must not use the MWLN platform. These terms may be updated at any time. Continued use of the platform after updates constitutes acceptance of the revised terms.
2.User Eligibility
You must be at least 18 years of age and legally capable of entering into binding contracts to use MWLN. By using the platform, you represent and warrant that you meet these requirements. MWLN reserves the right to deny access to any person or entity at its sole discretion.
3.Platform Role — Marketing and Advertising Only
MWLN is a national marketing, advertising, and technology platform for wholesale real estate listing advertisements, buyer inquiries, and vendor/service provider advertising. MWLN is not a real estate brokerage, broker, agent, attorney, lender, appraiser, inspector, contractor, title company, escrow company, financial advisor, transaction coordinator, or settlement service provider. MWLN does not represent, negotiate, broker, sell, buy, assign, finance, inspect, value, verify, guarantee, endorse, or close real estate transactions. MWLN is not a party to any transaction, contract, or agreement between users.
4.No Brokerage or Professional Relationship
Use of MWLN does not create a brokerage relationship, agency relationship, fiduciary duty, or any licensed professional relationship between MWLN and any user. MWLN does not act as a real estate broker, agent, attorney, lender, appraiser, inspector, escrow agent, title company, financial advisor, or transaction coordinator.
5.Marketplace Acknowledgment Requirement
All users must accept the MWLN Marketplace Acknowledgment before accessing protected pages, listing advertisements, or dashboard features. The Marketplace Acknowledgment confirms users understand MWLN's role as a marketing and advertising platform only. Submitting false or misleading acknowledgments may result in account suspension.
6.User-Submitted Content Rules
Users who submit listing advertisements, profiles, documents, or any other content to MWLN represent and warrant that: (a) the content is accurate to the best of their knowledge; (b) they own or have legal authority to submit the content; (c) the content does not infringe on any third-party rights; (d) the content does not violate any applicable law; and (e) the content does not contain misleading, deceptive, fraudulent, or discriminatory information. MWLN reserves the right to edit, reject, or remove any submitted content without notice.
7.Lister Authority and Representation
Listers and wholesalers who submit listing advertisements to MWLN represent and warrant that: (a) they have legal authority or written authorization to advertise the subject property; (b) they are in compliance with all applicable licensing, contract, and consumer protection laws; (c) all submitted information is accurate and not misleading; and (d) they have reviewed and agreed to MWLN's submission standards, acknowledgments, and compliance requirements. Fraudulent or deceptive submissions may result in immediate account termination and legal referral.
8.Buyer Due Diligence Responsibility
Buyers are solely responsible for conducting independent due diligence on any listing advertisement they evaluate through MWLN. MWLN's platform review of a listing advertisement does not constitute verification, endorsement, valuation, inspection, title review, legal approval, or guarantee of any kind. Buyers must independently verify all property information, deal terms, title status, assignment rights, occupancy status, zoning, permits, and any other material facts before entering into any agreement.
9.No Guarantees
MWLN makes no guarantee, representation, or warranty regarding the accuracy, completeness, reliability, availability, profitability, assignability, financeability, or legal compliance of any listing advertisement, document, or user-submitted content. Real estate investments involve risk, including the risk of loss of principal. Past platform activity does not indicate or guarantee future results.
10.Prohibited Content
Users may not submit or publish content that: (a) is false, misleading, fraudulent, or deceptive; (b) contains discriminatory language based on any protected class; (c) violates fair housing laws; (d) constitutes unlicensed brokerage or legal activity; (e) infringes on intellectual property rights; (f) contains malware, spam, or unauthorized advertising; (g) violates any applicable federal, state, or local law; or (h) promotes illegal activity of any kind.
11.Fair Housing Compliance
All users must comply with the Fair Housing Act and all applicable federal, state, and local anti-discrimination laws. Listing advertisements must not contain language that discriminates based on race, color, national origin, religion, sex, familial status, disability, or any other protected class. MWLN reviews listing advertisements for fair housing compliance but cannot guarantee that all submissions will be compliant. Users are ultimately responsible for their own compliance.
12.Advertising Fee Terms
MWLN charges deferred advertising fees for listing, reviewing, and publishing wholesale real estate listing advertisements. Plans include a 30-day deferred plan ($999), 60-day deferred plan ($1,999), and 90-day deferred plan ($2,999). Payment is due after the selected deferred period. All MWLN fees are advertising, software, listing access, deferred billing, platform review, subscription, or promotional placement fees only. MWLN fees are not commissions, referral fees, brokerage fees, success fees, closing fees, transaction fees, or compensation for procuring a buyer, seller, investor, vendor, property, or transaction. Fees are not based on assignment fee, sale price, ARV, spread, profit, closing, or transaction value.
13.Contract Termination Waiver
If the original contract or written marketing authorization between the listing submitter and property owner is terminated before the MWLN payment due date, the submitter may request a Contract Termination Waiver by uploading acceptable proof of termination. Waivers are subject to MWLN review and approval. False or misleading waiver requests may result in account suspension, invoice reinstatement, collections, and removal from MWLN.
14.Vendor Marketplace Terms
All MWLN Vendor & Service Provider Marketplace fees are flat monthly advertising, directory, software, profile, and promotional placement fees only. MWLN does not sell referrals, guarantee leads, guarantee clients, guarantee closings, recommend vendors, negotiate vendor services, or accept compensation based on whether any transaction, service job, closing, or outcome occurs. Vendor fees are not referral fees, kickbacks, commissions, success fees, or pay-per-closing fees.
15.Listing Removal Rights
MWLN reserves the right to remove, unpublish, edit, expire, or reject any listing advertisement at any time and without prior notice, including listing advertisements that contain inaccurate or prohibited information, violate platform standards, raise compliance concerns, have been reported by users, or no longer meet MWLN's requirements.
16.Listing Expiration
All listing advertisements expire on the earliest of: (1) the listing visibility end date set at submission; (2) the contract expiration date; (3) the closing deadline; (4) the buyer response deadline; (5) an admin-set expiration date; or (6) when the lister marks the listing assigned, sold, unavailable, canceled, or expired. Expired listing advertisements are not removed from the audit log.
17.Account Suspension
MWLN reserves the right to suspend, terminate, or restrict any user account at its sole discretion, including for violations of these Terms, fraud, misrepresentation, non-payment, user complaints, regulatory concerns, or any conduct MWLN determines to be harmful to the platform or its users.
18.Limitation of Liability
To the fullest extent permitted by law, MWLN and its affiliates, officers, employees, directors, and agents shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from or related to: use or inability to use the platform; reliance on any listing advertisement or information on the platform; any transaction facilitated through or outside of the platform; unauthorized access to your account; or any other matter related to MWLN services.
19.Indemnification
You agree to indemnify, defend, and hold harmless MWLN and its affiliates, officers, agents, and employees from any claim, liability, damage, loss, or expense, including reasonable attorneys' fees, arising out of your use of the platform, your submitted content, your transactions with other users, your violation of these terms, or your violation of any law or third-party rights.
20.Dispute Resolution
Any disputes arising from these Terms of Use or your use of MWLN shall first be submitted to informal negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules. You waive the right to participate in class action lawsuits related to MWLN.
